1. INTRODUCTION

The Board of Directors of HSS Engineers Berhad (“HEB” or “the Company”) wishes to announce that the Company has on 13th November 2025 entered into a Memorandum of Understanding (“MOU”) with CTI Engineering Co. Ltd. (“CTI”). The MOU provides a framework for HEB and CTI to explore potential synergies in engineering consultancy, technology transfer, and business development, both locally and internationally.

2. INFORMATION ON CTI ENGINEERING CO. LTD.
CTI is a public listed company incorporated in Japan and is one of Japan’s leading engineering consultancy firms with expertise in civil engineering, infrastructure planning, environmental management, and project management services. CTI has extensive international experience in the planning and implementation of infrastructure projects across Asia and other regions.

3. SALIENT TERMS OF THE MOU
The MOU records the intention of HEB and CTI to collaborate for the purpose of exploring strategic collaboration as part of a broader partnership to strengthen both parties’ engineering and infrastructure capabilities locally and internationally.

The MOU is non-binding unless and until HEB and CTI have entered into Definitive Agreement(s) on mutually agreed terms and conditions.

The MOU shall be effective from the date of signing and shall remain in force for one (1) year unless earlier terminated by either Party.

4. FINANCIAL IMPACT
The MOU is not expected to have any immediate material effect on the earnings, net assets, or share capital of HEB for the financial year ending 31 December 2025.

5. DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS
None of the Directors or major shareholders of HEB or persons connected to them has any interest, direct or indirect, in the MOU.

6. STATEMENT BY THE BOARD OF DIRECTORS
The Board of Directors of HEB is of the view that the MOU is in the best interest of the Company as it represents a step towards potential strategic collaboration with an established international engineering consultancy.

7. APPROVALS REQUIRED
The MOU is not subject to the approval of the shareholders of the Company and any relevant government authorities.

Further announcements will be made as and when there are material developments arising from the MOU.
